Retool AI Terms

Applicable to customers on any plan.

These Retool AI Terms ("AI Terms") supplement and form part of the Terms of Service, Master Subscription Agreement, or other written agreement between Retool, Inc. ("Retool") and Customer that governs Customer's use of the Retool Platform (the "Agreement"). Capitalized terms used but not otherwise defined in these AI Terms will have the meanings given to them in the Agreement. As used in these AI Terms, "Retool Platform" will also mean the "Services" or other similar term used in the Agreement to refer to Retool's developer tools and platform. In the event of a conflict between these AI Terms and the Agreement, these AI Terms will prevail.

1. Definitions

  • "Retool AI" means the artificial intelligence-powered products, services, and capabilities of the Retool Platform. “Retool AI” does not include Third-Party Services.
  • Customer Materials" means any Customer Data that is submitted to or otherwise processed by Retool AI on behalf of Customer, including by way of User Prompts or data accessed from sources such as Customer's Resources or Third-Party Services.
  • AI Output" means all data, responses, content, information, and other output, including source code, returned by Retool AI to Customer or an Authorized User based on Customer Materials.
  • Resource" means any database, API, service, or other data source or system, including its structure, organization, and metadata, that Customer connects to the Retool Platform for use in building or operating Custom Apps.
  • "Third-Party Service" means any third-party service, product, solution, software, application programming interface, or other technology that Customer elects to connect, access, or integrate with through the Retool Platform, and which may require Customer authentication or a separate account to access or use.
  • User Prompt" means any natural language instructions and prompts submitted by Customer or an Authorized User directly to Retool AI via a chat interface.

2. Customer Materials and AI Output

2.1 Customer's Proprietary Rights.

2.1.1 As between Customer and Retool, Customer reserves all right, title, and interest in and to Customer Materials, and to the extent such rights exist under applicable law, Customer owns all right, title, and interest in and to AI Output.

2.1.2 Customer grants Retool and its Affiliates a non-exclusive license to access, use, copy, distribute, transmit, perform and display Customer Materials and AI Output (a) to provide, maintain, improve, and update Retool AI; (b) to prevent or address service or technical problems, including for purposes of debugging, or at Customer's request in connection with customer support matters; or (c) as compelled by law in accordance with the confidentiality clause in the Agreement or as expressly permitted in writing by Customer. Retool will maintain contractual agreements with the providers of Retool-Managed Models (as defined below) that prohibit such providers from using Customer Materials or AI Output for their own model training or fine-tuning purposes.

2.1.3 For clarity, the license granted in this section does not permit Retool to use Customer Materials or AI Output to train or fine-tune its own artificial intelligence models or algorithms, except as expressly provided in Section 2.2 below.

2.2 Model Training. Retool does not currently use Customer Materials or AI Output to train or fine-tune its own artificial intelligence models or algorithms. In the event Retool intends to do so in the future, Retool will provide Customer with advance written notice and a meaningful opportunity to opt out prior to any such use. Such notice will be delivered via email to the Customer's account administrator or through the Retool Platform. If Customer opts out, Retool will not use Customer Materials or AI Output for such purposes.

2.3 Customer Responsibilities. Customer represents and warrants that it has all rights necessary to grant Retool the license to use Customer Materials in accordance with these AI Terms, and Retool’s processing of the same will not (a) infringe, misappropriate, or violate any third-party rights; (b) violate any applicable laws or regulations; or (c) result in the breach of any terms or conditions Customer has with any third party. Customer will not submit User Prompts that are intended to generate, or would reasonably be expected to generate, AI Output that are unlawful, harmful, or infringe, violate, or misappropriate the rights of any third party.

3. Customer's Access and Use

3.1 AI Usage Policy. The AI Usage Policy, along with all other usage restrictions applying to the Retool Platform in the Agreement, will apply to Retool AI.

3.2 Supported AI Models. Retool AI is powered by third-party artificial intelligence models (“Supported AI Models”), as described in the Documentation applicable to Retool AI. Supported AI Models may be used with Retool’s API keys (a “Retool-Managed Model”) or Customer’s own API keys (“Customer-Managed Model”). If Customer elects to use a Retool-Managed LLM, Customer must comply with the Retool-Managed Model provider’s policies and requirements referenced in the AI Usage Policy.

3.3 Customer's Use of AI Output. Customer acknowledges and agrees that (a) AI Output may contain errors, inaccuracies, bugs, or content that could be offensive, unlawful, or otherwise inappropriate for Customer’s use case; (b) AI Output should not be relied upon for or as a substitute for professional advice; and (c) Retool AI may produce similar or identical AI Output to other customers and users. Customer is solely responsible for reviewing, testing, and validating AI Output for suitability for Customer’s use case, including as part of a deployed Custom App, and using AI Output in compliance with applicable laws and third-party rights and licenses.

3.4 Agents. Using Retool AI, Customer may configure, deploy, and use AI-powered systems that take action or perform specific tasks on Customer's behalf (an “Agent”). Actions taken by an Agent are not considered as AI Output. Customer will be solely responsible for: (a) authorization of an Agent’s access and connection to any Resources and Third-Party Services; (b) employing human review to regularly monitor and assess an Agent’s behavior and actions for its use case; (c) following any best practices provided by Retool for configuring and operating an Agent, as set forth in the applicable Documentation; and (d) any actions or steps taken by an Agent.

3.5 Usage Information. Retool may collect and analyze information relating to the use, configuration and performance of Retool AI (collectively “Usage Information”) for purposes of improving Retool AI and the Retool Platform.

4. AI Credits

Customer’s and Authorized Users’ use of Retool AI may require prepayment to Retool in the form of credits (“AI Credits”), and Customer may receive a monthly allocation of AI Credits based on its subscription plan for the Retool Platform, which will be specified in Customer’s then-current Order Form or, if Customer does not have a signed Order Form with Retool, at AI Credits and Usage. If Customer’s monthly allocation of AI Credits is depleted, access to Retool AI may be suspended until Customer purchases additional AI Credits or receives its next monthly allocation of AI Credits. AI Credits are non-refundable, non-transferrable, and unless otherwise agreed in writing with Retool, expire monthly and do not roll over to the following month. 5. Disclaimer of Warranty

Retool AI, any AI Output, and Agents are provided on an "as is" basis. Retool, its AI providers, and licensors expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, accuracy, security, or non-infringement of third-party rights. Retool neither guarantees the accuracy, reliability, or appropriateness of any Agent action nor represents that AI Output does not infringe third-party intellectual property rights. To the maximum extent permitted by applicable law, Retool will not be liable for any losses or damages arising from Agent actions or from Customer’s use of AI Output or any omissions or errors in AI Output.

6. Indemnification

Customer shall defend Retool and its Affiliates, and its and their respective officers, directors, employees and contractors, from and against a suit or proceeding by a third party alleging that Customer Materials or AI Output, or Customer’s use of Retool AI (a) infringes or misappropriates the intellectual property rights of a third party, or (b) violates applicable law or the privacy rights of a third party; provided, however, that Customer shall have no liability under this section to the extent the claim arises from Retool’s breach of the Agreement or willful misconduct.

7. AI Beta Versions

Retool may provide a version of Retool AI on a free, trial, alpha, beta, preview, or early access basis (“AI Beta Version”). AI Beta Versions are provided to Customer on an “AS IS” basis, without any warranties and without any performance, service level, or indemnification obligations. Retool will have no liability of any type with respect to AI Beta Versions, unless such exclusion of liability is not enforceable under applicable laws, in which case Retool’s total aggregate liability with respect to AI Beta Versions is limited to $1,000 USD. Unless otherwise agreed in writing with Retool, Retool may discontinue or modify AI Beta Versions, or revoke Customer’s access to the same, at any time for any or no reason, without any liability to Customer. Discontinuing AI Beta Versions, or making them inaccessible, may have the effect of making some or all of User Prompts, Customer Materials, or AI Output inaccessible to Customer.

8. Modifications

Retool may introduce AI features and functionality from time to time that are considered part of Retool AI and may update these AI Terms accordingly. Retool will provide notice of material changes by emailing the email address associated with Customer's account, by messaging Customer through the Retool Platform, and/or by specifying an effective date at the top of these AI Terms. If Customer (or any Authorized User) accesses or uses Retool AI after the effective date, that use will constitute Customer's acceptance of any revised terms and conditions.
