AI App Builder Terms
(Formerly known as the Assist Beta Terms)
These AI App Builder Terms (these "Terms") contain the terms under which Customer may access and use the AI App Builder (as defined below). By enabling or using the AI App Builder, Customer agrees these Terms are binding on Customer. These Terms form part of the Terms of Service, Master Subscription Agreement, or other written agreement between Retool, Inc. ("Retool") and Customer that governs Customer’s use of the Services (the "Agreement"). In the event of any conflict between the Agreement and these Terms, these Terms will control with respect to such conflict.
Retool may update these Terms from time to time. If Retool makes a material change to these Terms, Retool will notify Customer reasonably in advance of the change taking effect, either by email or by messaging Customer through the Services. Material changes will become effective on the date set forth in the notice, and all other changes will become effective upon posting of the change. If Customer or any Authorized User accesses or uses the AI App Builder after the effective date, such use will constitute Customer's acceptance of the revised version of the Terms.
What does “Customer” mean?- "Customer" means the individual agreeing to these Terms or, if you are entering into these Terms on behalf of an entity (such as the company you work for) that entity.
- If you are entering into these Terms on behalf of Customer, then you represent to Retool that you have the legal authority to bind the Customer to these Terms. If you do not have that authority or if Customer does not agree with these Terms, then you may not agree to these Terms, and neither you nor Customer may access or use the AI App Builder.
1. Definitions.
Capitalized terms used in these Terms will have the meanings below. All other capitalized terms not otherwise defined below will have the meanings given to them in the Agreement.
- “AI App Builder” collectively means features, functionalities, or products offered by Retool that are powered by artificial intelligence models to help Customer create, modify, manage, or otherwise develop Custom Apps. The term “AI App Builder” includes, without limitation, capabilities of the Services currently known as “Assist.”
- “Input” means any prompts, data, content, or other information that Customer or its Authorized Users submit or make available to the AI App Builder.
- “DPA” means the data processing addendum executed between the parties, or if the parties have not executed a data processing addendum, then the data processing addendum located at https://retool.com/dpa.pdf.
- “Output” means any data generated by the AI App Builder and returned to Customer or its Authorized Users based on the Input.
- “Supported LLM” means any of the large language models that Customer may use with the AI App Builder, as set forth in the applicable Documentation.
2. Customer’s Use of the AI App Builder.
2.1. Supported LLMs. Supported LLMs may be used with Retool’s API keys (a “Retool-Managed LLM”) or Customer’s own API keys (“Customer-Managed LLM”). In either case, Customer must comply with the usage policies and requirements of the provider of the Supported LLM. The usage policies and requirements for Retool-Managed LLMs are attached to these Terms as Exhibit A. Retool may suspend Customer’s use of a Supported LLM if Retool reasonably believes that Customer is in breach of the applicable usage policies or requirements. Retool will not permit the providers of Retool-Managed LLMs to use Input or Output to train or fine-tune their respective models.
2.2 Input. Customer represents and warrants that it has all rights necessary to grant Retool the license to use Input in accordance with these Terms, and Retool’s processing of Input as permitted hereunder will not (A) infringe, misappropriate, or violate any third-party rights; (B) violate any applicable laws or regulations; or (C) result in the breach of any terms or conditions Customer has with any third party.
2.3. Output. Customer acknowledges and agrees that Output (A) may contain errors and may not be bug-free; and (B) should not be relied upon for or as a substitute for professional advice. The AI App Builder may produce similar or identical Output for other users who submit similar prompts. Retool does not guarantee that Output are unique, free of third-party rights, or suitable for any particular purpose. Customer is solely responsible for reviewing, testing, and validating Output for suitability and completeness before use as part of a Custom App and for using Output in compliance with applicable laws and third-party rights. Customer will not represent that Output are human-generated or approved or endorsed by Retool or its third parties.
2.4. User Feedback. Customer and its Authorized Users may have the option to submit in-product feedback or recommendations regarding Output or the overall performance or functionality of the AI App Builder. When submitting such feedback to Retool, Customer consents to other related data, as described in the applicable Documentation and which may include Input and Output (“User Feedback Data”), being shared with Retool and Retool’s third parties for Retool’s product improvement purposes. To the extent User Feedback Data contains any data or other information relating to an identified or identifiable natural person (“Personal Data”), Customer acknowledges and agrees that Retool will process such Personal Data as a controller. Customer and its Authorized Users are not required to submit any user feedback as described in this section.
2.5. AI Usage Policy. The AI Usage Policy, along with all other usage restrictions applying to the Services in Customer’s Agreement, will apply to the AI App Builder. Customer will not violate the AI Usage Policy.
3. AI Credits.
3.1. Customer’s and Authorized Users’ use of the AI App Builder may require prepayment to Retool in the form of credits (“AI Credits”), and Customer may receive a monthly allocation of AI Credits based on its subscription plan for the Services, which will be specified in Customer’s then-current Order Form or at Billing and Usage if Customer does not have a signed Order Form with Retool. If Customers’ and Authorized Users’ use of the AI App Builder consumes AI Credits and Customer’s monthly allocation of AI Credits is depleted, access to the AI App Builder may be suspended until Customer purchases additional AI Credits or receives its next monthly allocation of AI Credits. AI Credits are non-refundable, non-transferrable, and unless otherwise agreed in writing with Retool, expire monthly and do not roll over to the following month.
4. Proprietary Rights.
4.1 Reservation of Rights. Retool reserves all rights, title, and interest in and to the AI App Builder, including all improvements, derivatives, enhancements or modifications made to the same, and all intellectual property rights associated with the foregoing.
4.2. Input and Output. As between Retool and Customer, Customer will retain all right, title and interest in and to Input. Retool does not own nor will it claim ownership of Output, except where Output includes general guidance on using the Services or links to Documentation or other resources made publicly available by Retool. Customer is responsible for making its own determination regarding the intellectual property rights it has in Output.
4.3. Retool’s Use of Data. Customer grants Retool a worldwide, non-exclusive license to access, use, copy, distribute, perform, modify, and display Input and Output to (A) provide, maintain, and update the AI App Builder, and to provide necessary access to the providers of Retool-Managed LLMs; (B) prevent or address service or technical problems, including for purposes of debugging, or at Customer's request in connection with a customer support matter; and (C) as further described in Section 4.4 below. Retool may collect and use Usage Information as permitted under the Agreement.
4.4. Model Training.
4.4.1 Free, Team, and Business subscription plans. If Customer is using the AI App Builder under a Free, Team, or Business subscription plan, or under a “Business Platform (Cloud)” subscription as set forth in its current Order Form, Retool will be permitted to use, and derive data from, Input and Output to enhance, improve, and develop Assist Beta, including through model training or fine-tuning. Before using Input, Output, or any data derived therefrom for model training or fine-tuning purposes, Retool will provide Customer advance notice, which may be provided via email or through the Services, and make available a mechanism to opt-out of the use of such data for such purposes.
4.4.2. Enterprise subscription plan. If Customer is using the AI App Builder under an “Enterprise Platform” subscription as set forth in its current Order Form, Retool will not use Input, Output, or other related data to enhance, improve or develop Assist Beta, including through training or fine-tuning Retool's own models, unless Customer has expressly consented to such use by following instructions supplied by Retool to Customer directly or through the Documentation.
5. Privacy.
5.1. Retool’s Privacy Policy is incorporated by reference into these Terms. If Retool processes Personal Data (as defined in the DPA) on Customer’s behalf as a “processor” or “service provider” (as such terms are defined under applicable data protection laws), the DPA will apply to such processing.
6. Beta Releases.
6.1. Retool may provide a version of the AI App Builder on a trial, alpha, beta, preview, or early access basis (“Beta AI App Builder”). The terms in Customer’s Agreement applying to trial products or beta products will apply to the Beta App Builder. If Customer’s Agreement does not address Customer’s use of trial or beta products, the Beta AI App Builder is provided “AS IS.” Retool may discontinue, or revoke Customer’s access to, the Beta AI App Builder, at any time. RETOOL MAKES NO REPRESENTATION OR WARRANTY AND SHALL HAVE NO INDEMNIFICATION OBLIGATIONS, SUPPORT OBLIGATIONS OR SERVICE LEVEL OBLIGATIONS WITH RESPECT TO THE BETA AI APP BUILDER. RETOOL SHALL HAVE NO LIABILITY OF ANY TYPE WITH RESPECT TO THE BETA AI APP BUILDER, UNLESS SUCH EXCLUSION OF LIABILITY IS NOT ENFORCEABLE UNDER APPLICABLE LAW IN WHICH CASE RETOOL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE BETA AI APP BUILDER IS US$1,000.
